Referral Program Terms and Conditions

1. Overview

These Referral Program Terms and Conditions ("Terms") govern your participation in the Referral Program ("Program") offered by HarvestAPI ("Company," "we," "us," or "our"). By participating in our Program, you ("Referrer," "you," or "your") agree to these Terms in their entirety.

2. Eligibility

To be eligible to participate in the Program:

• You must have an active account with our platform.
• Your account must be in good standing.
• You must comply with these Terms and our general Terms of Service.
• You must be at least 18 years old or the age of majority in your jurisdiction.

3. How the Program Works

3.1 Creating Referral Links

1. Register or login to our application admin panel at Your Admin Panel.
2. Navigate to the referrals section within the admin panel.
3. Click the "Create Referral Link" button to generate your unique referral link(s).
4. You may generate up to 10 unique referral links.
5. You can view and manage your referral links in the admin panel.

3.2 Referral Process

1. Share your unique referral link(s) with potential new users ("Referred Users").
2. When a potential new user clicks your link and successfully creates a new account with us, they become your Referred User for the purposes of this Program.
3. You may become eligible for rewards based on qualifying payments made by your Referred Users, subject to these Terms.

3.3 Referral Attribution & Qualification Window

• We use a first-touch attribution model. The first Referrer whose link is clicked by the Referred User leading to account creation will receive credit for that referral.
• If a user clicks links from multiple Referrers, only the first link clicked will determine the credited Referrer.
• The period during which a Referred User's payments are tracked for potential reward calculation is the 30 consecutive days immediately following their click on your referral link (the "Payment Window").

3.4 Referral Tracking

• You can view a list of users who joined using your referral link(s) within the referrals section of the admin panel.
• For privacy, the identities of Referred Users will be anonymized.
• The admin panel will display information related to your referrals, including tracking the largest single payment made by each Referred User during their respective 30-day Payment Window.

4. Rewards

4.1 Reward Calculation

• Subject to these Terms, you will earn a reward equal to 30% of the single largest qualifying payment made by your Referred User during their 30-day Payment Window.
• A reward only becomes potentially claimable after your Referred User makes their first qualifying payment.
• The eligible reward amount visible in your dashboard is based on the largest payment detected so far within the Payment Window. This amount may increase during the 30-day Payment Window if the Referred User makes a subsequent, larger payment.
• Each Referred User can only generate one reward for you, based on their single largest payment within their Payment Window.

4.2 Claiming Rewards

• Rewards must be claimed manually through the designated section in your admin panel dashboard.

• You have a total of 120 days, starting from the moment your Referred User first clicks your referral link, to claim your reward for that specific referral (the "Claim Window").

• You may initiate a claim for an earned reward at any point during the 120-day Claim Window once the first qualifying payment has been made by the Referred User.

• Claiming During Days 1-30: If you choose to claim your reward during the Referred User's 30-day Payment Window (i.e., Days 1-30 after they clicked your link), your reward payout will be calculated based on 30% of the largest payment made by that Referred User up to the exact moment you initiate the claim. Initiating a claim during this period is final for that referral.

• Claiming During Days 31-120: If you choose to claim your reward after the Referred User's 30-day Payment Window has fully closed (i.e., Days 31-120 after they clicked your link), your reward payout will be calculated based on 30% of the absolute largest single payment made by that Referred User during the entire 30-day Payment Window.

• Reward Expiration: Unclaimed rewards expire permanently and are forfeited if not successfully claimed before the end of the 120-day Claim Window.

• Payout Requirements:

  • To claim rewards, you must add a valid cryptocurrency wallet address compatible with the payout currency to your account profile.
  • Referral rewards are paid out exclusively to the cryptocurrency wallet address you provide, in the specific cryptocurrency designated by you in your account profile.
  • You are solely responsible for any transaction fees (e.g., network fees, gas fees) associated with the cryptocurrency transfer. These fees may be deducted from the payout amount or handled according to the specific cryptocurrency network's protocols.

4.3 Reward Payment Processing

• Minimum Payout Threshold: Rewards can only be claimed and processed if the calculated reward amount is equivalent to at least 2.00 USD at the time of claim initiation.
• Manual Review: All reward claims are subject to a manual review process by the Company to verify compliance with these Terms and check for fraudulent activity. This review occurs after you initiate a claim.
• Processing Time: Reward payments are not instant. Please allow up to 3 business days for the manual review and payment processing after you have initiated a valid claim.
• Cryptocurrency Transfer: Approved rewards will be processed as cryptocurrency transfers to your designated wallet address.
• Value Determination & Risk: The USD equivalent value of the reward is used to determine eligibility against the minimum payout threshold. The final amount of cryptocurrency transferred will be determined based on the prevailing exchange rate at the time the transfer is initiated by the Company. The Company is not responsible for any fluctuations in cryptocurrency value before, during, or after the transfer is completed. You assume all risks associated with cryptocurrency volatility and network transaction times.

5. Prohibited Activities

Participation in the Program prohibits engaging in, or attempting to engage in, any activity that the Company deems, in its sole discretion, to be abusive, fraudulent, or harmful to the Program or the Company's platform. Such prohibited activities include, but are not limited to:

• Creating multiple accounts for the same individual to self-refer or abuse the Program.
• Referring oneself by creating a new account using one's own referral link.
• Using any automated system, script, macro, or bot to generate referrals or participate in the Program.
• Misrepresenting the Company's services, the Program benefits, or your relationship with the Company.
• Creating fake or fraudulent accounts for Referred Users.
• Offering unauthorized incentives or kickbacks to Referred Users to sign up.
• Any activity that violates applicable laws or regulations.
• Any other act determined by the Company to be an attempt to undermine the integrity or fairness of the Program.

6. Program Modifications and Termination

• The Company reserves the right to modify, suspend, or terminate the Referral Program, or any aspect thereof, including these Terms, at any time and for any reason, in its sole discretion.
• We will endeavor to provide reasonable notice of material changes to the Program or these Terms, which may be provided via email, in-app notification, or by posting updated Terms on our website. Check the "Last Updated" date at the top of these Terms.
• Unless otherwise stated, changes will become effective immediately upon posting or notification.
• Your continued participation in the Program after any modification constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must cease participation in the Program.

7. Reward Disqualification and Forfeiture

The Company reserves the right, in its sole discretion, to:

• Investigate any activity suspected of being fraudulent, abusive, manipulative, or otherwise in violation of these Terms.
• Withhold, delay, or deny payment of rewards if fraud, abuse, or violation of these Terms is suspected or confirmed.
• Terminate your participation in the Referral Program immediately and without prior notice if you violate these Terms or engage in prohibited activities.
• Deactivate any or all referral links associated with accounts suspected of improper activity.
• Reverse or require repayment of any credited rewards found to have been obtained improperly, fraudulently, or in violation of these Terms.

8. Privacy

Any personal information collected, processed, or shared during your participation in the Referral Program will be handled in accordance with our Privacy Policy. By participating, you consent to the data practices described therein relevant to the Program.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE REFERRAL PROGRAM; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY RELATED TO THE PROGRAM; OR (c) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE COMPANY EXCEED THE TOTAL AMOUNT OF REWARDS PAID OR PAYABLE TO YOU UNDER THIS PROGRAM IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. General Terms

• These Terms constitute the entire agreement between you and the Company regarding the Referral Program and supersede any prior agreements.
• Any disputes arising out of or related to these Terms or the Program will be governed by the laws specified in our general Terms of Service and resolved according to the dispute resolution procedures outlined therein.
• If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• The Company's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
• You may not assign or transfer your rights or obligations under these Terms without the prior written consent of the Company. The Company may assign its rights and obligations under these Terms without restriction.
